We provide a platform for these services but are not a party to transactions between users unless explicitly stated. We do not own, operate, or control any of the businesses listed on our Platform.

3. Eligibility and Registration

3.1 Age Requirements

You must be at least 18 years old to use our Platform. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Registration

• Premium Plan ($119/month): 3x visibility boost, enhanced promotion, up to 8 photos, direct contact display
• Analytics Pro Plan ($159/month): All premium features plus comprehensive analytics, visitor insights, lead tracking

4.2 Billing and Payment Terms

• Subscriptions are billed monthly in advance and automatically renew
• Payment processing is handled securely by Stripe, our PCI-compliant payment processor
• Prices are subject to change with 30 days' notice to existing subscribers
• You must provide valid payment information and authorize recurring charges
• Failed payments may result in service suspension after a grace period
• Subscription fees are non-refundable except as required by law

4.3 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings or customer portal
• Cancellations take effect at the end of the current billing period
• Access to premium features continues until the subscription expires
• No refunds are provided for partial months or unused subscription time

• AI services may have technical limitations, errors, or downtime
• You should verify all information and seek independent advice

5.3 Data Usage for AI Training

By using our AI services, you consent to the use of aggregated, anonymized data to improve our models and services. Personal information is not used for AI training without explicit consent.

6. Acceptable Use

You agree to use our Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Attempt to gain unauthorized access to our systems or user accounts
• Use automated tools to scrape, harvest, or extract data without permission
• Circumvent security measures, rate limits, or authentication processes
• Interfere with or disrupt our services, servers, or networks
• Create multiple accounts to evade restrictions or duplicate subscriptions
• Engage in any form of market manipulation or artificial engagement
• Use the Platform for money laundering, terrorist financing, or illegal activities
• Attempt to defraud, mislead, or harm other users
• Engage in harassment, stalking, or threatening behavior
• Use analytics data for competitive intelligence without permission
• Attempt to reverse engineer our AI algorithms or proprietary systems

6.3 Business Listing Requirements

When creating business listings, you must:

• Provide accurate and truthful information about the business
• Have legal authority to sell or represent the business
• Disclose all material facts that would affect valuation or sale
• Use only authentic photos and documents
• Comply with all applicable securities laws and regulations
• Maintain confidentiality of sensitive buyer information
• Respond promptly and professionally to qualified inquiries
• Honor the subscription level and plan features you've selected

7. Analytics and Data Collection

7.1 User Analytics

We collect comprehensive analytics data to improve our services, including:

9.3 AI and Proprietary Technology

Our AI algorithms, valuation methodologies, analytics systems, and proprietary technology are confidential and protected intellectual property. You may not attempt to reverse engineer, copy, or compete with our proprietary systems.

10. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information, including AI processing, analytics data, and cross-border data transfers. By using our Platform, you consent to our data practices as described in our Privacy Policy and acknowledge that your data may be processed by AI systems and third-party service providers.

11. Disclaimers and Limitation of Liability

OUR PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

11.2 AI and Valuation Disclaimers

AI-POWERED VALUATIONS, MARKET ASSESSMENTS, AND BUSINESS INTELLIGENCE ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT. BUSINESS VALUATIONS ARE ESTIMATES ONLY AND SHOULD NOT BE RELIED UPON FOR INVESTMENT, LEGAL, OR FINANCIAL DECISIONS.

11.3 Third-Party Content and Services

We do not verify the accuracy of user-submitted content, business listings, or third-party integrations. Information is provided by users and may be inaccurate, outdated, or misleading. You should conduct your own due diligence before making any business decisions.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR DAMAGES ARISING FROM AI ERRORS, WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO OUR PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $500, WHICHEVER IS GREATER.

11.5 Business Transaction Disclaimers

12. Indemnification

13. Termination

13.1 Termination by You

You may terminate your account at any time through account settings or by contacting customer support. Active subscriptions will continue until the end of the billing period unless cancelled. Termination does not relieve you of obligations incurred prior to termination.

13.2 Termination by Us

We may suspend or terminate your account immediately, without notice, for violation of these Terms, illegal activity, fraudulent behavior, abuse of AI services, or any reason we deem appropriate in our sole discretion. We may also terminate our services entirely with 30 days' notice.

13.3 Effects of Termination

Upon termination, your right to use our Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes. Sections regarding disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

14. Force Majeure

We are not liable for any failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, AI service outages, or failures of third-party service providers.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario, Canada.

15.2 Dispute Resolution Process

Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiation. If negotiations fail, disputes may be resolved through binding arbitration under the Arbitration Act of Ontario, except for claims seeking injunctive relief or intellectual property disputes.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitrations against us, except where prohibited by law.
